Applicant Nondisclosure Agreement


This Applicant Nondisclosure Agreement is made and entered into as of the date indicated by the agreement below and is by and between WageWorks, Inc., a Delaware corporation (WageWorks), and the signed applicant (hereinafter “Applicant”).

1. Background and Purpose. Applicant wishes to apply for employment at WageWorks. As consideration for and a condition precedent to any interview for or discussion of employment, Applicant agrees to keep in confidence Confidential Information that WageWorks may disclose during any discussion with the Applicant.

2. “Confidential Information” Defined. “Confidential Information” means any information disclosed by WageWorks, either directly or indirectly, by means of writing, oral communication, or inspection of objects, including but not limited to: technological devices and systems; formulae; processes; algorithms; decision trees; computer software; prototypes and technology under development; computers and other equipment; business and financial information; forms and drafts; facilities; policies and procedures; operations; customer and potential customer names; suppliers and vendor names; trade secrets; trade dress; patent applications; inventions (whether patentable or not); and other items, if: 1) that information is marked “confidential” and/or “proprietary,” 2) WageWorks informs the Applicant that the information that it is about to disclose shall be treated as confidential and/or proprietary, or 3) disclosure of the information is otherwise accompanied by a clear indication that WageWorks considers the information to be confidential. Confidential Information does not, however, include: (a) any information which was publicly known or released into the public domain prior to disclosure by one party to the other, (b) information that becomes publicly known or generally available after disclosure through no action or inaction of the Applicant, or (c) information that is in the Applicant’s possession at the time of disclosure, as shown from the Applicant’s records dating from before the disclosure.

3. Nonuse and Nondisclosure. The Applicant shall (i) use Confidential Information only for the purpose of evaluating and engaging in discussions concerning a potential employment relationship with WageWorks; (ii) not disclose any Confidential Information to third parties without written authorization of WageWorks; (iii) disclose Confidential Information only to legal counsel who are required to have the information in order to evaluate or engage in discussions concerning the contemplated employment; (iv) not reverse-engineer, disassemble, or decompile any prototypes, software, or other tangible objects which are included in WageWorks’s Confidential Information, (v) not remove or export from the United States or reexport any such Confidential Information or any direct product thereof.

4. Maintenance of Confidentiality. The Applicant shall take all reasonable measures to protect the secrecy of disclosed Confidential Information, and to avoid disclosure or unauthorized use of the Confidential Information. Without limiting the foregoing, the Applicant shall apply at least those measures that the Applicant applies to protect his or her own most highly Confidential Information. The Applicant shall not make any copies of Confidential Information unless WageWorks previously approves the copying, e.g., the Applicant may not reproduce, reprint, forward or otherwise disseminate copies of the Confidential Information, in whole or in part. If the Applicant makes copies, it must include with the copies the WageWorks’s confidentiality and proprietary rights notices on the copies as set forth in the original. 5. No Obligation to Proceed. Nothing in this Agreement shall obligate WageWorks to offer the Applicant with any employment or contract for services, and either party reserves the right, in its sole and absolute discretion, to terminate discussions.

6. Return or Destruction of Materials. All documents, data, or other tangible objects containing Confidential Information, and all copies of those documents or objects, are and remain the property of WageWorks. If they are in the possession or under the control of the Applicant, the Applicant shall return or destroy them immediately upon receipt of written request by WageWorks.

7. No License. Nothing in this Agreement or any disclosure of Confidential Information, or any other information grants to the Applicant any rights under any patent, copyright, trademark, trade secrets, or other intellectual property right of WageWorks.

8. Term. This Agreement shall continue in effect until all Confidential Information disclosed hereunder becomes publicly known and made generally available through no action or inaction of the Applicant, unless sooner terminated by further agreement of the parties.

9. Remedies. The Applicant acknowledges and agrees that due to the unique nature of WageWorks’s Confidential Information, there may be no adequate remedy at law for any breach of its obligations hereunder, that any such breach may allow the Applicant or third parties to unfairly compete with WageWorks resulting in irreparable harm to WageWorks; and therefore, that upon any such breach or any apparent imminent threat thereof, WageWorks shall be entitled to appropriate equitable relief in addition to whatever remedies it might have at law and to be indemnified by the Applicant from any loss or harm, including, without limitation, attorneys’ fees, in connection with any breach or enforcement of the Applicant’s obligations hereunder or the unauthorized use or release of any such Confidential Information.

10. Waiver. The failure of WageWorks at any time to enforce the provisions of this Agreement or any right under this Agreement, will in no way be construed to be a waiver of such provision or right, or in any way to affect the validity of this Agreement. The failure of WageWorks to exercise any provision or right under the terms or conditions of this Agreement shall not preclude or prejudice the exercising of the same or any other provision or right under this Agreement.

11. Miscellaneous. This Agreement shall be governed by the laws of the state of California. The courts of the state of California shall have jurisdiction to resolve any disputes that arise under this Agreement. This document contains the entire agreement of the parties regarding confidentiality and nondisclosure, and may be amended only by a writing signed by both of the parties.
