Description

Federal Signal has an immediate opening for a Corporate Governance Paralegal to work out of its corporate offices in Oak Brook, IL.  The successful incumbent will file SEC and NYSE required reporting; support the preparation of Federal Signal Proxy Statement and preparation of Board and Nominating & Governance Committee materials for distribution to Directors; manage trademark portfolio and payment of patent maintenance fees; maintain corporate and subsidiary record books; and respond to various corporate governance and compliance requests from internal and external personnel.

 

Primary Duties & Responsibilities: 

  • Maintain datasheets and organizational charts for Federal Signal and subsidiaries. Prepare minutes/resolutions for Federal Signal after Board meetings/conference calls and annual minutes for subsidiaries for filing in minute books.
  • Respond to miscellaneous requests from corporate/subsidiary personnel and outside attorneys for secretary certificates; incumbency certificates; certificates of good standing; resolutions; state filings for subsidiaries; qualifications to do business; secure apostilles/legalization for documents requested by foreign entities.
  • Manage trademark portfolio and payment of patent maintenance fees. Conduct trademark clearance searches using USPTO’s TESS.
  • Serve as a back-up with respect to the drafting and filing of Section 16 reports (Forms 3, 4, and 5) for Directors, CEO and CEO direct reports with the SEC to report changes in stock holdings as necessary.
  • NYSE Reporting: changes of officers and directors; annual CEO certifications and interim affirmations; dividends declared; annual meeting and record dates.
  • Federal Signal Proxy Statement: supply information to NYSE and shareholders regarding date/time/location of annual meeting, director biographies, director fee information. Work with Broadridge to ensure distribution of proxy materials (proxy statement, 10-K, notice, voting card).
  • Preparation of Board and Nominating & Governance Committee materials for distribution to Directors via Board Vantage.
Position Requirements: • Bachelor's Degree required
• Proficiency and advanced knowledge of MS Excel – required
• Working knowledge in MS Word and PowerPoint
• Familiarity with Express Options software
• Proficiency and advanced knowledge of Adobe
• Working knowledge of Microsoft Access
• Familiarity with Workiva
• Paralegal certification a plus
